Terms of Service

Overview

These Terms of Service ("Terms") govern your access to and use of the ZDS Client Portal, including the mobile app and web portal (together, the "Service"), operated by Zamora Digital Studios ("ZDS," "we," "our," or "us"). By creating an account, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Who May Use the Service

The Service is intended for real estate professionals (such as licensed realtors and real estate agents), property owners, short-term-rental owners, and property and rental managers who are clients of Zamora Digital Studios. The Service is targeted to real-estate and rental use; it is not a general-purpose platform. By registering, you represent that:

• You are at least 18 years of age

• You are using the Service for professional real-estate, rental, or property-management purposes

• The information you provide during registration is accurate and complete

ZDS reserves the right to refuse or terminate access for any user who does not meet these criteria or who violates these Terms.

2. Account Registration

2.1 Self-Registration

You may create an account by providing your name, email address, and a password. You will be required to verify your email address before accessing the Service. You are responsible for keeping your login credentials confidential and for all activity that occurs under your account.

2.2 One Account Per User

Each user is permitted one account. You may not create multiple accounts or share your account credentials with others.

2.3 Account Security

If you believe your account has been compromised, contact us immediately at contact@zamoradigitalstudios.com. ZDS is not liable for any loss or damage resulting from unauthorized access caused by your failure to keep your credentials secure.

2.4 Staff Accounts

Your account may have staff members added to it by a ZDS administrator at your request. Staff accounts are granted access to your galleries, invoices, and appointments. You are solely responsible for all activity that occurs under your account, including any actions taken by staff members who have been granted access. If you believe a staff member should no longer have access to your account, contact ZDS immediately at contact@zamoradigitalstudios.com to have them removed.

3. The Service

3.1 What the Service Provides

The ZDS Client Portal allows you to:

• View and download photo and video galleries for your properties

• View and pay invoices issued by ZDS through Square

• Submit shoot requests and manage appointments

• Communicate directly with the ZDS owner via in-app messaging

3.2 Your Content

Content you submit through the Service — such as property addresses, appointment notes, and messages — remains yours. By submitting content, you grant ZDS a limited license to use that content solely to provide and operate the Service on your behalf.

3.3 ZDS Content

Photos and videos delivered through the Service are created by ZDS and are subject to the separate licensing and usage rights agreement provided at the time of your shoot booking. Where applicable, subscription/retainer engagements are also governed by the Recurring & Subscription Agreement, and hosted deliverables (such as Matterport tours) by the Hosted-Deliverable Addendum. These Terms do not override or replace those agreements. If you have questions about usage rights for delivered media, contact ZDS directly.

3.4 Gallery Sharing

The Service allows you to generate a time-limited share link for any of your galleries. You may use this link to allow third parties — such as property owners, buyers' agents, or other interested parties — to view your gallery without creating an account. Share links expire automatically after 7 days. You are solely responsible for who you share these links with and how recipients use them. ZDS is not responsible for any unauthorized redistribution, reproduction, or misuse of your gallery content by any party who receives a share link from you.

3.5 Third-Party Viewers

Individuals who access a gallery through a shared link ("Viewers") are granted a limited, non-transferable, non-exclusive right to view the photos and videos in that gallery for personal, non-commercial review purposes only. Viewers may not download, copy, reproduce, or distribute any content from the gallery; use any content for commercial purposes or advertising; or forward the share link to unauthorized parties. All media delivered through the Service remains the intellectual property of ZDS unless otherwise agreed to in writing.

4. Payments and Invoices

4.1 Invoice Creation

All invoices are created by ZDS in the Square platform. Invoices are displayed in the Service for your convenience and are payable directly through the app or web portal using Square's payment processing.

4.2 Payment Processing

Payments are processed by Square, Inc. ZDS does not store your payment card information. By making a payment through the Service, you agree to Square's terms of service and privacy policy. ZDS is not responsible for errors or issues caused by Square's payment infrastructure.

4.3 Disputes

If you believe an invoice contains an error, contact ZDS directly at contact@zamoradigitalstudios.com before initiating a chargeback with your bank or card issuer. ZDS will work with you to resolve billing disputes promptly.

4.4 Credit Card Surcharge

Effective July 1, 2026, payments made by credit card are subject to a surcharge of three percent (3%) of the transaction amount, applied automatically at the time of payment. The surcharge reflects the cost of credit card acceptance and does not exceed ZDS's cost of acceptance. It does not apply to payments made by debit card or other non-credit methods. The surcharge amount is disclosed before the payment is completed.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law or regulation

• Impersonate another person or entity

• Upload or transmit malicious code, spam, or any content that is harmful, threatening, or offensive

• Attempt to gain unauthorized access to any part of the Service or its underlying systems

• Reverse-engineer, scrape, or copy any part of the Service

• Use the Service for any purpose other than managing your professional relationship with ZDS

ZDS reserves the right to suspend or terminate your account immediately if you violate these rules.

6. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review it to understand how we collect, use, and protect your information.

7. Availability and Changes to the Service

We strive to keep the Service available at all times, but we do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or factors outside our control (such as outages from Firebase, Square, or Vercel).

We reserve the right to modify or discontinue any feature of the Service at any time, with or without notice. We will make reasonable efforts to notify you of material changes.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ZDS DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

ZDS does not warrant that the Service will be error-free, that defects will be corrected, or that the Service or the servers that make it available are free of viruses or other harmful components.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, ZDS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ZDS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

In no event shall ZDS's total liability to you for all claims arising out of or related to the Service exceed the amount you paid to ZDS in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless ZDS and its owner from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of another party.

11. Termination

Either party may terminate your account at any time. You may delete your account by contacting us at contact@zamoradigitalstudios.com. ZDS may suspend or terminate your account immediately for violation of these Terms, non-payment of invoices, or any conduct that ZDS deems harmful to the Service or to other users.

Upon termination, your right to access the Service ends immediately. Sections that by their nature should survive termination (including Sections 8, 9, and 10) will continue to apply.

12. Governing Law and Disputes

These Terms are governed by the laws of the State of Georgia, without regard to its conflict of law provisions. Any dispute arising out of or related to these Terms or the Service shall be resolved exclusively in the state and federal courts located in Fannin County, Georgia, or the U.S. District Court for the Northern District of Georgia, Gainesville Division, and you consent to the exclusive jurisdiction of those courts.

13. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the Effective Date at the top of this document. If changes are material, we will notify you by email or through a notice in the app. Continued use of the Service after the updated Terms are posted constitutes your acceptance.

14. Entire Agreement

These Terms, together with the Privacy Policy and any separate usage rights agreement provided at the time of your shoot booking (including, where applicable, the Recurring & Subscription Agreement and the Hosted-Deliverable Addendum), constitute the entire agreement between you and ZDS regarding the Service. They supersede any prior agreements or understandings on this subject.
