Overview

This Hosted-Deliverable Addendum ("Addendum") supplements the Terms and Conditions governing the CLIENT's order whenever the order includes a hosted deliverable. It governs deliverables that Zamora Digital Studios ("COMPANY") hosts and serves on the CLIENT's behalf, as distinct from files delivered to the CLIENT to keep.

1. Scope — Hosted Deliverable Defined

This Addendum applies to any deliverable the COMPANY hosts rather than hands over — currently the Matterport 3D tour, and written to extend to any future hosted asset. Hosted deliverables are distinct from delivered files the CLIENT downloads and retains under the applicable service Terms.

2. Hosting Term

The hosting term begins on the delivery date of the hosted deliverable.

• Short-term-rental / rental tours (Track B): an initial term of twelve (12) months, renewable annually (Section 4).

• For-sale / listing tours (Track A): hosted until the property closes or six (6) months from delivery, whichever occurs first (Section 3).

3. Auto-Removal on Expiry or Non-Renewal

At the end of the hosting term — or, for renewable tours, after expiry without renewal (subject to the offline retention window in Section 5) — the COMPANY may take the hosted deliverable offline and, in time, delete it. The COMPANY has no obligation to retain a hosted deliverable beyond its paid term.

4. Renewal

For STR/rental tours, the CLIENT may keep the tour live by paying $129 per year, per live tour. The COMPANY will send a reminder at least thirty (30) days before expiry. To renew, the CLIENT requests renewal through the portal; the COMPANY then issues a Square invoice, and the renewed hosting term takes effect upon confirmed payment. Renewal pricing may change on notice at renewal (Section 8). A multi-year prepay option is offered: three (3) years for $322 (approximately 2.5× the $129 annual rate, versus $387 paid year-by-year).

5. Offline Retention & Reactivation Window

If a renewable tour is not renewed by its expiry date, the COMPANY may take the tour offline. The COMPANY retains the offline tour for thirty (30) days, during which the CLIENT may reactivate it under Section 6 and the COMPANY sends reminders. After the thirty (30)-day window closes, the COMPANY reserves the right to permanently delete the tour; once deleted, reactivation is no longer available and restoring a tour requires a new capture at then-current rates.

6. Reactivation Within the Retention Window

During the thirty (30)-day offline retention window (Section 5), the CLIENT may restore a lapsed tour by paying the annual renewal fee plus a reactivation fee set on the COMPANY's then-current rate card. The COMPANY may waive the reactivation fee as a courtesy on a case-by-case basis. Once the retention window closes and the tour is deleted, reactivation is no longer possible; a new tour must be booked and captured.

7. No Guarantee of Perpetual Availability

Hosting is a service for the paid term, not a permanent archive. The COMPANY will use reasonable efforts to keep hosted deliverables available during the paid term but does not guarantee uninterrupted availability and offers no service-level agreement (SLA).

8. Third-Party Dependency (Matterport)

Hosting depends on Matterport, Inc., a third-party platform. If Matterport changes its terms, raises its prices, or discontinues its service, the COMPANY is not liable, and will offer an export or alternative where feasible. Renewal pricing may track Matterport cost changes.

9. Effect of Removal on Embeds and Links

When a hosted deliverable is removed, any embed links, QR codes, and references break. It is the CLIENT's responsibility to remove or update references to the tour from the MLS, listings, websites, and marketing materials.

10. License & Ownership of the Tour

The COMPANY retains copyright in the hosted tour and 3D model. The CLIENT receives a license to display and embed the tour during the hosting term, consistent with the licensing terms of the underlying order. The license to display ends when the hosting term ends.

11. Data & Privacy

The hosted tour stores property imagery and is served by Matterport as a third-party processor. See the Privacy Policy (Matterport processor disclosure and tour-viewer analytics) for how related data is handled.

12. Governing Law

This Addendum is governed by the laws of the State of Georgia, consistent with the governing-law and venue provisions of the applicable service Terms.
